Website Terms of Use

These Website Terms of Use (these "Terms") govern your access to and use of the website located at www.cerridwen.io and any related pages we operate (the "Site"). The Site is operated by Cerridwen LLC, a Delaware limited liability company ("Cerridwen," "we," "us," or "our").

BY ACCESSING OR USING THE SITE, YOU AGREE TO THESE TERMS. OUR PRIVACY NOTICE EXPLAINS HOW WE HANDLE PERSONAL INFORMATION. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

1. Who May Use the Site

You may use the Site only if you can form a binding contract with us and only in compliance with these Terms and applicable law. The Site is not directed to children under 13. If you use the Site on behalf of a company, farm, agency, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

2. Ownership of the Site and Its Content

2.1 The Site and all of its content, including text, compilations of statistics, graphics, logos, images, page layout, design, product descriptions, feature descriptions, source code, and the selection and arrangement of all of the foregoing (the "Site Content"), are owned by Cerridwen or its licensors and are protected by copyright, trademark, and other intellectual property laws of the United States and other countries.

2.2 Except for the limited license in Section 3, nothing on the Site and nothing in these Terms grants you any right, title, license, or interest in the Site, the Site Content, or any of Cerridwen's products, platforms, concepts, technology, or other intellectual property, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

3. Limited License

3.1 Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site and to download or print a reasonable number of pages for your own informational use, including to evaluate Cerridwen for yourself or your organization, provided that you keep intact all copyright, trademark, and other proprietary notices.

3.2 We may revoke this license at any time, for any reason, without notice.

4. Trademarks and Brand Use

4.1 "Cerridwen," "Cerridwen.io," "Trask," our logos, and any other names, marks, slogans, and trade dress shown on the Site (the "Cerridwen Marks") are trademarks of Cerridwen. You may not use any Cerridwen Mark, or any name, mark, domain name, social media handle, or design that is confusingly similar to a Cerridwen Mark, without our prior written consent.

4.2 You may not use any Cerridwen Mark in a way that suggests that Cerridwen sponsors, endorses, partners with, or is affiliated with you, your organization, or your products or services.

4.3 Third-party names and marks that appear on the Site belong to their respective owners.

5. Prohibited Conduct

5.1 You agree that you will not, and will not help or permit anyone else to:

(a) copy, reproduce, republish, distribute, modify, translate, create derivative works of, sell, license, or otherwise commercially exploit the Site or any Site Content, except as expressly permitted by Section 3;

(b) impersonate Cerridwen or any of its owners, employees, contractors, or representatives, or falsely state or imply that you are affiliated with, authorized by, or speaking on behalf of Cerridwen;

(c) create or operate any website, domain, social media account, email address, profile, or communication that mimics the Site or that is designed or likely to cause people to believe it comes from Cerridwen, including for phishing, fraud, fundraising, or solicitation;

(d) use Site Content, or any Cerridwen Mark, to solicit money, data, or personal information from any person, or to misrepresent Cerridwen's products, plans, funding, partnerships, or relationships with farmers, ranchers, communities, government agencies, or anyone else;

(e) alter Site Content in a way that is false or misleading, or falsely attribute to Cerridwen any statement it did not make;

(f) use any robot, spider, scraper, crawler, or other automated means to access, collect, copy, or monitor the Site or Site Content, other than standard search engine indexing that complies with our robots.txt file;

(g) use the Site or any Site Content to train, fine-tune, test, or improve any artificial intelligence or machine learning model or system, or to build any dataset;

(h) frame, mirror, or deep-link to the Site in a way that hides its source or suggests that the Site belongs to anyone other than Cerridwen;

(i) decompile, reverse engineer, disassemble, or attempt to derive the source code or underlying structure of the Site, except to the extent applicable law expressly permits this despite this restriction;

(j) probe, scan, or test the vulnerability of the Site, breach or circumvent any security or authentication measure, or access any part of the Site not intended for public access;

(k) introduce any virus, malware, or other harmful code, or interfere with or overload the Site or the servers and networks that host it; or

(l) use the Site for any unlawful purpose or in violation of these Terms.

5.2 Software we make available through a separate repository, such as our public GitHub repositories, is governed by the license that accompanies that software. If that license conflicts with these Terms for that software, the license controls for that software only.

6. Ideas and Feedback

6.1 If you send us any ideas, proposals, inventions, product suggestions, business plans, comments, feedback, or other materials, including through the contact form on the Site (together, "Submissions"), please do not include any information you consider confidential or proprietary.

6.2 If you send us a Submission or any comments or feedback about the Site or Cerridwen, you agree that: (a) it is not confidential or proprietary to you, and we have no obligation to keep it confidential; (b) we have no obligation to review, use, return, or pay for it; (c) we may already be developing, or may later develop, similar ideas independently; and (d) you grant Cerridwen a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, copy, modify, disclose, and exploit it for any purpose without restriction or compensation to you.

6.3 This Section does not apply to materials you share with us under a separate written agreement signed by Cerridwen, such as a nondisclosure agreement. That agreement controls those materials.

7. Informational Purposes Only

7.1 The Site is provided for general informational purposes about Cerridwen. Statistics, data, and statements about agriculture, weather, climate, or economics on the Site may come from third-party or public sources, may be dated, and may not be complete, accurate, or current. We do not undertake to update them.

7.2 Content on the Site is general information. It is not tailored to your land, soil, climate, or operation, and it is not agronomic, financial, legal, insurance, or other professional advice. Before making decisions about your farm, ranch, land, or business, consult a qualified professional who knows your circumstances.

7.3 Products and features described on the Site may be in development, may change, and may never become available. A description on the Site is not an offer, commitment, or guarantee that any product or feature will be released or will perform in any particular way.

8. Third-Party Sites

The Site may link to websites, services, or social media pages operated by others, such as GitHub and LinkedIn. We do not control and are not responsible for their content, terms, or privacy practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CERRIDWEN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, CERRIDWEN AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CROPS, LIVESTOCK, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 TO THE FULLEST EXTENT PERMITTED BY LAW, CERRIDWEN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10.3 Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits any rights you have that cannot be waived or limited under applicable law.

11. Indemnification

You will defend, indemnify, and hold harmless Cerridwen and its members, managers, officers, employees, contractors, and agents from and against all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your breach of these Terms.

12. Enforcement and Remedies

12.1 We may suspend or block your access to the Site at any time, without notice, if we believe you have violated these Terms.

12.2 You acknowledge that a breach of Section 5 or any misuse of the Site Content or the Cerridwen Marks may cause Cerridwen irreparable harm for which money damages would be inadequate. Cerridwen may seek injunctive or other equitable relief to stop or prevent that breach, in addition to any other remedy available at law or in equity.

12.3 Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

13. Reporting Impersonation and Misuse

If you believe someone is impersonating Cerridwen, using our name or logo without permission, or copying or misusing Site Content, or if you receive a suspicious message claiming to come from Cerridwen, please tell us at legal@cerridwen.io. Cerridwen will never ask you for payment or passwords through an unsolicited message.

14. Governing Law & Venue

14.1 These Terms, and any dispute arising out of or relating to the Site or these Terms, are governed by the laws of the State of Oregon, without regard to its conflict of laws rules.

14.2 You agree that any such dispute will be brought exclusively in the state or federal courts located in the State of Oregon, and you consent to the personal jurisdiction of those courts. Cerridwen may, however, seek injunctive or other equitable relief to protect its intellectual property or the Cerridwen Marks in any court of competent jurisdiction.

15. Changes to These Terms

We may change these Terms from time to time. When we do, we will post the updated Terms on the Site and update the "Last Updated" date at the end of these Terms. If we make material changes, we will provide reasonable notice, such as a prominent notice on the Site. Changes take effect when posted and apply only going forward. They do not apply to any dispute that arose before the change was posted. Your continued use of the Site after changes take effect means you accept the updated Terms.

16. General

16.1 These Terms are the entire agreement between you and Cerridwen about the Site. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full effect. You may not assign these Terms without our prior written consent. We may assign them without restriction. Section headings are for convenience only. The provisions that by their nature should survive termination of your access to the Site will survive, including Section 6 and the sections on ownership, disclaimers, limitation of liability, indemnification, enforcement, and governing law.

16.2 If you use the Site on behalf of a federal, state, or local government agency, Section 11 and Section 14 apply to that agency only to the extent permitted by the laws that govern it.
